INsiders Training Commitment Letter

Social Media Training Program

Hay There Social Media Training, LLC (the “Company”) is excited to introduce you to its Social Media Training Program, a 6-week, 14-session live Zoom format, designed to provide women with the skills and training needed to successfully operate their own social media freelance business. Participants are trained to deliver social media marketing services to small to medium-sized business clients. Throughout the program, trainees learn how to run their own social media marketing business, from defining the services they want to offer, to learning how to deliver them and how to manage their clients. The Company provides templates, prospecting documents, and technical instruction. The Company teaches various processes, professional approaches, and best practices that it has successfully developed and implemented over the past decade. The Company also offers tips and wisdom acquired during its years of providing similar services. The Company’s goal is to provide program participants with the necessary tools to allow them, upon completion of the program, to obtain and maintain their own clients while working independently in a flexible environment, setting their own hours, and thereby ensuring a work life balance customized to fit individual and family needs and commitments.

Attendance at every training session is highly encouraged to achieve the maximum benefit for all participants. Recordings of the training sessions are made available to ensure members access content of the program. In the event attendance at a session is not feasible for any reason, we expect participants to learn the information covered in the missed session prior to the next scheduled training session via recordings. No refunds are given for missed sessions.

The tuition for the Social Media Training Program is $2,997, which you agree to pay to the Company in full prior to the first session unless alternate payment arrangements have been agreed to by the Company in writing.

Business Referrals

As a participant in, and upon your successful completion of, the Social Media Training Program, the Company may, from time to time, refer clients and business to you. However, the Company shall have no obligation to refer you any clients or business. For every referral by the Company that results in an engagement, you agree to pay the Company $150 as a referral fee (the “Referral Fee”). The Referral Fee shall be paid within seven days after you collect your fees. If your fees are collected in installments or over time, the Referral Fee shall similarly be paid in installments or over time with 5% of each payment collected by you being paid to the Company within seven days after your receipt of same.

Monthly Membership Program

In addition to our Social Media Training Program, the Company also offers an optional Monthly Membership Program, which is available for a monthly fee of $99. The program begins the first of the month following the completion of the training program. You are automatically enrolled in the program, and the first three months are free. Thereafter, unless you provide written notice of termination of your enrollment in the program prior to the expiration of the 90-day free period, the $99 monthly fee will become due the first of each month. The monthly fee will automatically be charged to the method of payment the Company has on file, and, unless you terminate your enrollment in the program in accordance with this paragraph, you authorize and approve the charge. You may terminate your enrollment in the monthly program at any time by providing the Company with a written notice of termination. However, there is no pro-rating or refunds for partial months. If you terminate your enrollment, you may opt to re-enroll at a later time at the then prevailing monthly fee. The monthly fee may be increased at any time upon 30 days’ advance written notice. The monthly membership program provides you with the following benefits:

Receipt of on-going access to professional development content to help keep your skills sharp as you develop and grow your own business.
Receipt of revised marketing materials when they are updated.
Inclusion of your name on the Company’s website, which will increase your visibility and allow potential clients to find you.
Access to vetted and trusted partners, including, but not limited to, graphic designers and web developers.

Confidential Information

During the course of the Social Media Training Program and the Monthly Membership Program, the Company may disclose to you Confidential Information (defined below) relating to the Company, its business, or clients of the Company. “Confidential Information” means, whether communicated verbally or in writing, electronic or other form, any and all Company information, data, trade secrets or know-how pertaining to, among other things, non-public and/or proprietary information, materials, documents, forms developed and/or used by the Company, client names, client data and information, client lists, research data, business plans, marketing plans, future plans, pricing, marketing or promotion of products and services, business policies and practices, business affairs and operations, personnel, activities, financial affairs, business and technical information, business opportunities and processes, including notes, memoranda, papers, electronic and/or graphic files, reports, and all documents and other materials used in or by or pertaining to the Company, its business, and any clients of the Company. You agree that the Confidential Information is provided to you and received by you in confidence. You will at all times preserve and protect the confidentiality of the Confidential Information. You agree to take all steps necessary to ensure that the Confidential Information is not disclosed to or used by any person, firm, or entity other than you. The Confidential Information shall remain the exclusive property of the Company and will be received by you subject to the Company’s ownership rights in the Confidential Information, and, further subject to all relevant intellectual and/or proprietary property rights of the Company. On demand, you agree to immediately return all Confidential Information to the Company. You agree to not copy or use the Confidential Information for any purpose without the prior written consent of the Company.

Non-Compete

To protect and preserve the value and goodwill of the Company, you agree that you shall not, directly or indirectly, provide any service, as an employee, consultant, contractor, or otherwise, to any past or current clients of the Company without first obtaining the Company’s prior written consent, which consent may be withheld in the Company’s sole discretion.

Limitations

Based on past experience, we are confident our programs work; however, your participation in the Social Media Training Program and the Monthly Membership Program in no way guaranties you will obtain clients or that you will earn any money. Further, the Company does not provide legal advice or legal services. We encourage you to consult with an attorney regarding the formation of your business and any other legal matters related to it.

Authorization and Testimonials

You agree to allow the Company to use photographs and video of you and written content prepared by you in promotional materials for the Social Media Training Program and the Monthly Membership Program published on the Company’s website, social media networks, and in printed materials. You may be requested to provide the Company with a written testimonial, Google review, or other review.

Agreement

By signing this Commitment Letter, you are enrolling in our training program. You agree to abide by the terms of this Commitment Letter and the Company’s policies and practices, as amended.

I agree to and accept the foregoing terms and conditions on my behalf and on behalf of any entity used by me in connection with the Company’s programs.
